Wisconsin Contract Law – What Makes a Legally Binding Contract?

As a business owner, you probably enter into contractual relationships every day. Many of you deal with written contracts on a fairly regular basis. However, do you understand the basic concepts of contract law and what makes a legally binding contract? Do you know what to look for when reviewing contracts prepared by the other party, or your own attorney that make it a legally binding contract?

Under Wisconsin contract law, legally binding contracts, whether oral or written, require three basic components: offer, acceptance, and consideration. An “offer” requires that one party offers to provide something of value to another party, which is then “accepted” by that other party. “Consideration” is what the two parties are obligated to exchange with each other as part of the contract. Consideration must be something of value, and the consideration must be mutual, i.e. both sides must provide something of value under the contract. For example, an agreement whereby a party agrees to pay you $1,000.00, without receiving anything in exchange, is by definition not a contract.

Typically, consideration takes the form of money paid in exchange for the provision of goods or services. This holds true for multi-million dollar transactions between international conglomerates, and when you take your car in for repairs by a mechanic. One corporation agrees to pay millions of dollars for another corporation to develop specific software or some other product, and you pay your mechanic to replace your spark plugs. In either case, there is an offer, acceptance, and consideration, and therefore an enforceable and legally binding contract. Keep in mind, however, that legally binding contracts may require consideration other than money, for example when two parties agree to exchange parcels of real estate.

Under Wisconsin contract law, all contracts also come with an implied duty of “good faith and fair dealing” on the part of both parties to the contract. While this is admittedly a rather broad phrase, in essence it means that, once an agreement has been reached, both parties have an obligation to make reasonable efforts to fulfill their respective obligations, and to avoid taking actions that would hinder the performance of the contract.

Parties to contracts have the right to enforce them in courts of law. Generally, the remedies for breach of contract take one of two forms, either specific performance or monetary damages. Specific performance is an equitable remedy most often awarded in cases involving real estate transactions, and consists of the Court ordering the breaching party to fulfill its obligations, i.e. “specifically perform” the contract.

In most cases, the remedy for breach of contract is money damages, usually in the form of “consequential” damages. Consequential damages are those damages that flow naturally from one party’s breach of a contract, and can include the cost to replace a product that was never delivered, the cost to repair a defective product, and any resulting lost profits. However, consequential damages must be “reasonably foreseeable” at the time the contract was created in order to be recoverable.

With certain exceptions, oral contracts may be just as valid and legally binding as a written contract. As an attorney, I recommend that whenever possible, contractual obligations be set forth in a written document signed by both parties. As a general rule, courts are required to look only at the written contract itself to interpret the parties’ obligations, unless there is some ambiguity in the contract. In the absence of a written agreement, or when an ambiguity exists in a written contract, the court may look to extrinsic evidence, including the testimony of the parties, to determine their intent. In other words, the judge or the jury will be determining the fate of the parties, as opposed to the parties themselves. Therefore, written contracts that clearly define the obligations of the parties are almost always preferable to oral contracts.

I will close with a suggestion. Never ignore the “boilerplate” language that you often find at the end of contracts. While these provisions may seem like an afterthought added by the attorneys to make the contract longer, they are often of vital importance, specifying among other things where written notices (for example, terminating the contract) must be sent under the contract, to where a lawsuit must be filed and what jurisdiction’s laws will govern the contract. While it is important to review the detailed provisions of the contract, it can be just as important to understand the “standard” provisions at the end of the contract.

An Easy Way to Extend the Life of Your Shipping Container Roof

Shipping containers have generally lived a hectic life by the time they are retired from overseas service work. Lots of shipping containers are retired following a single ocean crossing but the rest may end up journeying the high seas three to five times before hitting their golden years. It’s at this stage they are bought and begin a new career in the storage business, or they are modified into a house or small business or else they get buried and become a storm shelter. One item that’s critical for a shipping container to continue to perform in any of these areas is the condition of the container’s roof.

Shipping container roofing is simply corrugated sheet metal with a small side to side pitch to drain water. The steel is a special formulation called Cor-Ten steel that will protect itself by forming rust layer deterioration stops. If water puddles in a particular spot the roofing will continue to deteriorate and you may encounter small pin holes in the container roof. A simple Google search gives you many fixes for this problem that you can select from and I would like to add another one here for your consideration.

Along with storage containers, I have spent some time selling and leasing mobile offices. Newer mobile offices are typically made with a commercial rubber roof system but many of the older ones were constructed with a galvanized steel roof. The galvanizing was just a coating rather than hot dipped therefore it would wear out with time and like containers we would experience small pin holes in the roofing system. To repair this problem we had a great deal of success using a product called “Kool Seal.”

If you find a large tear or other kind of opening in your container roofing material during inspection you’ll need to repair that with patches or perform a complete tear off and replace the roof, but if you just have a deteriorating roof condition then look into Kool Seal reflective roof coatings. The Kool Seal Elastometric roof coating system forms a heavy rubber-like blanket of protection that protects against moisture and expands and contracts along with your roof. It remains flexible from -10F to 160F. Unlike galvanized metal roofs, after you have applied Kool Seal it’s going to last for many years, I can’t think of an occasion where I’ve had to re-coat a container that was coated in Kool Seal. Simply follow the manufactures application instructions and you’ll have a long-lasting and efficient roof system on the shipping container and you’ll seal up any small pin holes that may have formed. Kool Seal is available at many major home improvement retailers and at mobile home part retailers.

What Industries Use the Industrial Air Compressor?

Although much of the press about air compressors in recent years has focused on the new market for small and medium sized air compressors, traditionally they were primarily used by heavy industry and this remains the case today. The industrial air compressor is typically a fixed machine and usually operates on a much higher level than the compressor available at your local hardware store. As Ralph Waldo Emerson said “Do the thing you fear, and the death of fear is certain.” Always act with enthusiasm and by doing so you will feel enthusiastic. What Is A Capillary Column And Types Of Capillary Columns?

A capillary column for GC is fundamentally a very slender tube with the fixed phase veneering the internal surface. In packed columns the static phase is glazed onto the packing elements. A capillary column comprises of a couple of sections – the tubing and stationary phase.

Fused silica and stainless steel are the chief tubing ingredients. Moreover there are plenty of stationary phases- such as high molecular weight, thermally balanced polymers that are liquids or gels. But the most commonly seen stationary phase are polyethylene glycols, polysiloxanes and some tiny permeable elements constituted of polymers or zeolites.


In gas chromatography, mainly three types of capillary columns are used.

The capillary tube wall is layered with a skinny strata of solid balance on to which fluid phase is immersed. The separation efficiency of SCOT columns is higher than WCOT columns due to the enhanced surface domain of the stationary phase layer.

Fused Silica Open Tubular (FSOT)

Walls of capillary fused silica tubes are reinforced by a polyimide coating. These are malleable and can be twisted into coils.

Gas Chromatography is a universally used analytic procedure in many scientific research and industrial laboratories for quality analysis as well as recognition and quantitation of composites in a blend. GC is also a regularly used technique in many ecological and forensic labs because it permits for the exposure of very tiny volumes and quantities.

A wide variety of tasters can be investigated as long as the compounds are appropriately thermally balanced and rationally unstable. Now that’s all fine and dandy if you want to make a statement and stand out from the crowd. But aside from the fact that everyone will know it’s you who sent that terrible bowl that was 5 yards short of the jack, it’s not a good idea to base your decision on looks alone.

If you’re really serious about improving your short mat bowls game, there are a few key points you should consider when selecting your bowls. The first thing to think about is the weight of the bowl. Obviously you want to be able to hold it comfortably in your hand first and foremost, but you also need to be able to “feel the weight.” Bearing in mind that adding that all important extra yard might take just an extra ounce of strength in your delivery, you really want to be able to “feel” the bowl to be able to make the necessary adjustment. It’s always a good idea to have a practice with a friend or team mate’s bowls, trying out different weights to get an idea of what is right for you.

Once you think you’ve found the right sort of weight that suits you, the next step is deciding on the size. Now, in days gone by if you decided for instance, that a 2lb 12oz bowl felt like a good weight, you were pretty much stuck with the size that that particular weight came in.

However, thanks to the wonders of high density and low density bowls, we can now choose a set which is either smaller or larger than the standard density size. This means that if you like the “feel” of a 2lb 12oz bowl, but (like me) you have fairly small hands, you could opt for a 2lb 12oz “high density” bowl; which will be the same size as a standard 2lb 10oz but with all the weight of a 2lb 12oz one!

Equally, if you have giant sized hands but maybe have the strength of a new born lamb (!) then you might want to go with a low density bowl; a larger bowl but in a lighter weight.

The final important factor to take into account when selecting your short mat bowls is the strength of the bias. This is the clever part of your bowl which makes the bowl turn (or peg) as it begins to slow down. As a general rule, a bowl which is made for crown green bowls has a standard bias, whereas bowls manufactured specifically for indoor bowls or short mat bowling tend to have a stronger bias, resulting in a greater effect when the bowl turns.

Under the official rules of short mat bowling, you aren’t restricted to the type of bowl you can use which means you can play with crown green, flat green, indoor or short mat bowls. Therefore, the decision is again down to personal preference; whether you feel more comfortable playing with a bowl which turns more (an indoor or short mat bowl) or a weaker biased crown green bowl.

As somebody who plays crown green bowls as well as short mat, I use my crown green woods for both. However, I tend to play lead in a team of three during short mat games, which means there are never too many other bowls for me to bowl around when I send mine. For somebody who plays second or more particularly, third as skip, I would recommend playing with indoor/short mat bowls as the stronger bias is of great benefit when you are trying to negotiate the minefield of bowls that usually exist towards the conclusion of an end.

There you have it then. As long as you keep the above factors in mind you can’t go far wrong; so you’re free to go and get that fancy set of orange and green bowls you’ve had your eye on all this time!

Winter Carp Bait Secrets Of Maximizing Homemade Boilie And Paste Success!

This was using paste baits created after reading my further information and refining his bait substances recipes and pastes. Further bait testing of his new homemade baits on my advice was the reason why he was fishing the easy lake for instant feedback. His test result catches were far beyond those of anglers on the lake that were using ready made boilies. He very excitedly contacted me tell me how pleased and massively confident he was since getting into homemade bait making!

As he was on for 48 hours, he told me he decided to fish the main lake for the very first time. That night he succeeded in catching one of the seven much sought-after thirty-pound common carp in the lake; what a result! It was a new personal best for him for a winter common carp! Such is the power of paste baits teamed with powerful bait information and bait refinement and testing in action. This is why I use active bait testing all the time and I really do recommend that you fish new baits using a control bait on easy waters in winter to refine fantastic homemade bait winners for winter and in fact all year round!

You might ask how and why else would I use paste baits? Well the best way to introduce a new bait to any water is by using paste and not boiled or steamed baits! The secret of this is how efficiently the dissolving substances that are intrinsic to your paste baits dissipate in the most concentrated levels possible and these levels are far beyond those possible with any boilie!

Perhaps you want some tips on proven winter winners. Well for instance if you want to use Tutti Fruitti flavor which is a very popular proven cold water flavor, then make paste baits instead of boilies! In my years of testing in winter and summer, the most effective peak results time range for over-flavored baits is the first 30 minutes. This is followed by the proceeding 3 hours, upon which the bait impacts reduce dramatically as the most actively dissolving substances are lost! This is the time to cast out using fresh baits!

Keep moving your baits in winter because you will definitely attract the attentions of curious fish and you will even even locate them more easily. I like to combine many different sources of active and commercial enzymes in my homemade baits and these are exceptionally important for cold weather success! I have studied and tested countless numbers of these in various levels and combinations with very good reason!

The pH of your bait (when mixed with water to produce a solution) is another significant factor. Low pH flavors can be added to more significantly lower your boilie pH and make them more effective against background chemical clutter, such as ammonium from decaying autumn leaves and other silt forming detritus etc.

Low pH flavors and low pH additives in liquid forms increase feeding responses greatly in most carp waters in winter. They create a far more concentrated gradient of distinctly attractive and easily detected soluble substances for your carp to home in on for maximum winter success!

Use of examples of additives such as citric acid and betain HCL are merely the beginning of possibilities to harness, in vastly improving your winter and spring pastes and boilies! Tile Baseboards – Correctly Fixing the Tile Baseboards With Adhesive

With your tube of adhesive inserted and flowing correctly from your cocking gun, and your tile baseboards already cut to size, you are now ready to begin attaching tile baseboards to the wall. As a rule of having a nice cosmetic finish, in the most visible parts of your room use the cut tiles which still have the factory finished edges surrounding three out of the four sides. Keep the center cuts for hidden areas or alcoves where they are less likely to be seen, as these will only have factory finished edges on both short sides.

Keeping the factory edge facing upwards when installing tile baseboards, lay the tile upside-down on the floor, and then apply a ‘snake’ line of adhesive to the underside using the cocking gun. Don’t apply too much glue to the underside though, and try to steer clear of the edges of the tile. This will soon spread out when the tile baseboard is pressed firmly in place.

Once applied, release the pressure from the gun to avoid the contents from continuously flowing. Some adhesive may still flow out when this is done, so the best thing to do is place the nozzle end over the following tile to be attached to the wall. This way none of your adhesive will go to waste, and you will avoid getting it stuck on your fresh floor tile layout. The chemicals in the glue will stain the grout if given half the chance to fall upon it, so try to contain drips as best as possible.

Slide the tile baseboard up to the area on the wall where it is to be placed, making sure that it is in alignment with the floor tiles, and flip the tile up against the wall. Press firmly, moving slightly from left to right to gain an even spread, and then align with the existing grout lines. There is no need for tile spacers in this job, so if there are any off sized tiles, just align them as best as possible using your eye, and the glue should quickly hold them in place.

Continue as planned with the remaining tiles, and because the adhesive is very fast to dry, it is actually possible to begin grouting the gaps within about half an hour, or the time it takes you to apply all the baseboards. To be safe though, wait a little longer to avoid tile shifting if there is no rush to finish the job. If you decide to install transition pieces along the edge however, you must do this while the glue is still workable, These will give the baseboards a better finish and hide any visible cuts other than factory finished edges, although they are not entirely necessary and you will find that by applying silicon cocking can be just as effective with less expense.

One final tip: when installing tile baseboards in a room where the floor can expand or shift, for example, the second floor of a house, is that it might be wise to insert a ‘breathing’ gap. This is simply done by leaving a space between the tile baseboard and the floor tile, and can be done by using tile spacers between both in order to raise the tile slightly even just by 1/8″ inch, to then be filled using silicone cocking. If floors did have the ability to shift and expand, then you may find that tile baseboards in direct contact with floor tiles can tend to pop-off the wall due to this unseen force and exertion within the building’s structure.

With your tile baseboards firmly in place, you can then either choose to completely grout them if transition pieces are used to finish the visible top edge, or simply apply silicone sealant cocking. The latter choice will quickly fill lines and hide any gaps, and also apply a waterproof seal to them where they are attached to the wall. This type of cocking is reasonably inexpensive and comes in a variety of colors suited to match your tiling design. By again using your cocking gun to apply silicone, fill the gaps and then simply wipe and form gently with your index finger in continual, even, and singular strokes.
