  • Get a decent mig welding machine, preferably a good 115 volt mig welder like a Hobart Handler 140.

(Actually, 115 volt mig welders are often the best choice for welding sheet metal and a Hobart Handler 140 has all the features needed to weld thin sheet metal or even up to ¼” thick steel.)

  • Get a gas conversion kit so you can run .023″ bare wire. ( the Hobart mig welder comes with gas conversion)

Don’t even think about trying to weld in an auto body patch with flux core wire. You need to get a mig welder that has a gas conversion kit so that you can use 75/25 gas and use .023″ bare wire like E70s6 or E70s3.

  • Get some 75/25  gas  (thats 75 argon and 25 c02)

Pure Co2 is not what you want. Its fine for welding thicker steel, but for thinner sheet metal, 75/25 argon/Co2 is the ticket. It is more versatile too.

  • Get an auto darkening welding helmet…(Especially if you are a noob.)

Moving even slightly off the mark before you pull the trigger can make the difference between a good weld and a big blob of crap that will have to be ground off. Unless you love to grind, get yourself a decent auto darkening welding helmet.   • Use a hammer and dolly often to spread out the contractile stresses.

Sheet metal warps when you weld it… period.  You can’t stop it, all you can do is try to control it and then fix it.  A hammer and dolly used intermittently between small stitch welds is what the pro’s do to keep metal from distorting too much.

Floor Tile Grouting – Forming the Grout Lines

Once your application of floor tile grouting is completely finished, let the grout dry for about 20 to 30 minutes from the time you first began to apply the fresh grout.
Floor tile grout dries very fast, so you should work in sections to match your spreading speed, but ideally you’ll want to completely fill the floor tile grout lines in your full room before beginning to form the grout. If you are floor tiling a large room however, and find it to be impossible to complete the job in one go, then do the floor in designated sections of grouting and forming to prevent any problems.

In order to find out whether your grout lines are ready to be formed, take your finger and gently wipe it along the lines. The grout should be beginning to become hard with a top crust solid enough to take a good scrubbing with your sponge, although it should also still be soft enough that it does move and spread a little. If you attempt forming too soon, then you could remove more grout than you bargained for if it is still soft and moist. However, it you leave it too long to dry, then you will just give yourself more work in scrubbing, and will probably need a sponge with a harder surface to contend with the surface.

Before you begin forming, you should notice that your grout lines will have a raised form almost level with the top tile surface. Particularly when working with ceramic floor tiles which have edges that slope downwards, these grout lines need to be brought down to a slight dip to match the tile edge level closely.

With a fresh bucket of water and a good sturdy grouting sponge specifically designed for floor tiling applications, and not just any domestic use kitchen or bath sponge, soak the sponge in the water and wring out well. Taking your wet sponge, wipe over the grout lines in circular motions to remove the excess grout and form the shape of the lines. This method will give your lines a clean and uniform look, rather than grout spilling out over the edges of the floor tiles. Sometimes you may find that a straight wiping path initially may help at times, but the key is to maintain regular circular motions so as not to wipe out too much grout for a better finish.

Don’t worry about dry streaks appearing on the tiled surface at this stage, as you will be able to come back to them once the forming is complete. And always remember to regularly wring out your sponge in water, as you will find that it quickly gums up with tile grout and becomes unworkable after a few wipes. The water will become murky very fast, but at this stage it is not entirely important to keep changing for a clean solution.

One final pointer is that during forming you may find that dips have appeared in the grout lines, due to air pockets that managed to escape the correct grout spreading process. If these do occur, simply take some grout that you may find lying around on your floor tiles, insert it into the indent pushing it down and stuffing it in with your finger, and then form the line again by wiping over with the sponge. These do happen from time to time, so to be on the safe side, have a little extra grout handy when forming in order to fill them up where necessary.

Advantages and Disadvantages of Cat5 Data Cabling

The EIA/TIA-568-A Standard for Cat5 data cabling defines the parameters, both throughout rates and cabling length. Newer cable, such as Category 6, is capable of much higher speeds, but it also costs more than Cat5. When it was introduced in 1995, the specification that defined Cat5 data cabling, defined the upper limits of what four pairs of copper wire could do for data networking. Cable testing ensures that your network will work after the cable is fully installed and terminated.

Cat5 Data Cabling Specifications

The Cat5 cabling standard set forth performance metrics for Category 5 and Enhanced 5. The previous, Category 3, set the maximum cable speed as sixteen Mhz. Cat5 data cabling, however, is capable of speeds up to 100 Mhz. This was known as the 100-Base-T Network Standard, versus the previous 10-Base-T. The maximum length allowed for the permanent link, defined as the maximum distance allowable, including patch cords, between active devices on the network, must be no more than 90 metres. The Cat5 standard also set testing standards for maximum allowable levels of attenuation, near- and far-end crosstalk (NEXT and FEXT), and delay and delay skew, and a number of other measurements based mostly on crosstalk.

Different Types of Tests

There are two basic types of tests that can be performed on data cabling, wiremapping and standards-based testing. The current standard in data cabling is Cat6 Augmented, which is capable of speeds up to ten Gigabits Ethernet. If you have very large amounts of data that regularly get sent around your network, Cat 6 might be what you need. However, if the amount of information being sent over your network is quite a bit smaller, and will remain so for the foreseeable future, Cat5 data cabling can save you a good deal of money in material costs. Cat5 data terminations are much easier to make properly than Cat6 terminations, also. Because Cat6 cabling is capable of such high speeds, the requirements for proper termination are much more stringent, requiring specialized training, whereas Cat5 terminations are relatively easy to make properly.

Assignments of Rents – Lenders Beware!

Assignments of Rents. Here’s a topic that doesn’t pop up in light conversation very often.

Assignments of Rents. Virtually every commercial real estate financing includes an assignment of rents – either as a separate instrument, or in the mortgage, or both. We think we know what it means, and what protection it provides. But do we?

Assignments of Rents. What could assignments of rents possibly have to do with Pink Floyd?

It has been suggested on occasion, only half-jokingly, that I don’t like lenders. That is really not true. Lenders are valuable participants in the commercial real estate market. Without lenders, few of my clients could buy, develop or own commercial real estate projects. Commercial lenders provide valuable liquidity to the market (usually) and allow commercial real estate developers and investors to leverage available resources.

For years, I have described commercial lenders and their borrows as “friendly adversaries”. Friendly, because they need each other. Adversarial, because their interests are not always completely aligned. They are each necessary complements to the other.

In good times, all typically works well, with lenders and borrowers sharing a common goal -financing a viable commercial project that makes each of them an attractive return.

In troubled times, like we have seen over the past several years, lenders and borrowers can find themselves at odds. The current economic downturn has been particularly brutal because the commercial real estate market has seen an unprecedented collapse in property values and tenant rental revenue. Lenders often blame the borrower, because the loan has ended up in default. Realistically, for most commercial real estate borrowers, there is little if anything they could have done to prevent a default, save not acquiring and financing the project in the first place – which, in hindsight, most borrows wish, as much as most lenders wish, had been the case. But neither borrowers nor lenders foresaw the dramatic financial debacle we have been experiencing since 2008.

Still, we are where we are. Commercial real estate borrowers are holding projects with substantially lower values than existed five or six years ago, and may be in default of their mortgage loans. Not unreasonably, commercial real estate lenders want their money back.

Assuming the lender has properly documented and administered its commercial real estate loan, the lender should be in the driver’s seat. All else being equal, with a properly documented and administered commercial loan, a lender has a powerful arsenal of enforcement tools at its disposal.

That said, lenders must still comply with the law. Assuming they can pass the test of having a properly documented loan that has been properly administered in a manner that does not violate the rights and interests of the borrower, the mere fact that a lender is owed millions of dollars and has a secured interest in the borrowers project (including, yes, an assignment of rents) does not mean a lender can do whatever it wishes to collect its loan without regard to applicable law.

Do I dislike lenders? No. What I abhor are lenders and their attorneys who ignore the law – which already wildly favors lenders – and take steps in direct contravention of the law to collect their loans. With the legal enforcement deck already stacked in their favor, there is no excuse for lenders to overreach and violate the law in their enforcement efforts. When they do, they should fully expect that I will object on behalf of my borrower clients and seek to hold them accountable. We will pursue compensatory and punitive damages, when appropriate, petition to have their unlawful actions reversed, and will press to have their equitable remedies, including their equitable remedy of foreclosure, curtailed or barred.

Follow the law, and a lender should expect to get what the law provides. Violate the law, and a lender should expect to suffer the consequences.

Enforcement of an Assignment of Rents is a case in point. The law in Illinois, and in most other states, is crystal clear. It is an extension of common law doctrine that has developed over centuries. If a lender is going to require an Assignment of Rents, and plans to enforce the Assignment of Rents, it is incumbent upon the lender to know the law governing Assignments of Rents.

The leading case in Illinois on the effect and enforceability of an Assignment of Rents provision, whether in the mortgage or in a separate document, is Comerica Bank-Illinois vs. Harris Bank Hinsdale, et al, 284 Ill.App.3d 1030, 220 Ill.Dec. 468, 673 N.E.2d 380 (1st. Dist. 1996).

The Comerica case involved a dispute between a property owner/mortgagor and a first and second mortgagee as to who was entitled to collect the rents from shopping center tenants after the mortgagor’s default in payment of the a first mortgage and second mortgage.

The assignment of rents provision in the mortgage provided that, after a default, Comerica could collect rents from the property without taking possession of the property, and without exercising other options under the mortgage.

Comerica, the first mortgagee, sent a notice to tenants that the mortgagor was in default under its mortgage and that under the assignment of rents provision in its mortgage Comerica was entitled to collect the rents. Thereupon Comerica began collecting rents.

The property owner/mortgagor and the second mortgagee objected.

In summary, the Comerica court held as follows:

1. At common law, it was strictly held that the mortgagee must take actual possession before being entitled to rents.

2. A clause in a real estate mortgage pledging rents and profits creates an equitable lien upon such rents and profits of the land, which may be enforced by the mortgagee upon default by taking possession of the mortgaged property.

3. The possession requirement reflects the public policy in Illinois which seeks to prevent mortgagees from stripping the rents from the property and leaving the mortgagor and the tenants without resources for maintenance and repair.

4. Courts will not enforce private agreements that are contrary to public policy.

5. “To obtain the benefits of possession in the form of rents, the mortgagee must also accept the burdens associated with possession – the responsibilities and potential liability that follow whenever a mortgage goes into default. The mortgagee’s right to rents, then, is not automatic but arises only when the mortgagee has affirmatively sought possession with its attendant benefits and burdens”.

6. A mortgagee may be entitled to rents once a receiver is appointed as an incidence of being in “constructive possession”, since having a receiver appointed constitutes affirmative action by the mortgagee, under court authorization.

7. In a foreclosure action, the mortgagee is not entitled to rents until judgment has actually been entered unless the mortgage agreement permits the mortgagee to obtain prejudgment possession.

8. A mere filing of a foreclosure action or request for appointment of a receiver is not sufficient to trigger a mortgagee’s right to collect rents. The receiver must actually be appointed. “The mortgagee is not entitled to the rents until the mortgagee or a receiver appointed on the mortgagee’s behalf has taken actual possession of the real estate after default.”

9. Where a mortgagee does not obtain prejudgment possession of the property (through a court appointed receiver or as a mortgagee in possession), and where rents are collected during a time while the mortgagor remained in possession of the property, the rents so collected belong to the mortgagor.

In making its ruling, the Comerica court relied on Illinois case law, but, noting that the U.S. Supreme Court has required bankruptcy courts to apply State law in determining a mortgagee’s entitlement to rents [Butner v United States, 440 U.S. 48, 99 S. Ct. 914 (1979)], the Comerica court also found relevant bankruptcy decisions and Federal case law to be thorough and persuasive. Among other cases, the Comerica court found persuasive the bankruptcy court opinion in In re. J.D. Monarch Development Co. 153 B.R.829 (Bankr. S.D.Ill 1993).

In the case of In re. J.D. Monarch Development Co. 153 B.R.829 (Bankr. S.D.Ill 1993), the bankruptcy court, applying Illinois law, held as follows:

1. Illinois law recognizes the validity of an assignment of rents included in a mortgage of real estate.

2. Such an assignment creates a security interest in rents that is perfected as to third parties upon recording the mortgage in the real estate records.

3. As between the mortgagee and the mortgagor, however, the mortgagee is not entitled to the rents until the mortgagee or a receiver appointed on the mortgagee’s behalf has taken actual possession of the real estate after default.

4. This is so even though the mortgage instrument contains a specific pledge of the rents.

5. The mortgage does not create a lien upon rents to the same extent that it creates a lien upon the land. Rather, the inclusion of rents in a mortgage merely gives the mortgagee the right to collect rents as an incident of possession of the mortgaged property, and the mortgagee, after default, must take affirmative action to be placed in possession of the property to receive such income.

6. The requirement that a mortgagee enforce its lien on rents by possession of the real estate renders an assignment of rents different from security interests in other property.

7. Typically, a perfected lien gives the creditor an interest in a specific piece of property, whereas an assignment of rents allows the mortgagee to collect rents that come due after the mortgagee takes control of the property. To obtain the benefits of possession in the form of rents, the mortgagee must also accept the burdens associated with possession.

Notwithstanding the clarity of the law on this topic, there are lenders, and lenders’ counsel, and occasionally receivers, who ignore the law or choose to intentionally violate the law by seeking to take the benefits of rental projects by control of rents without accepting the burdens that come with possession. They want the good, but not the bad. The dessert, but not the main course. The pudding, but not the meat.

[Hence my opening reference to Pink Floyd: “How can you have any pudding, if you don’t eat your meat?” Even Pink Floyd understood the public policy applicable to assignments of rents!]

So what is the property owning borrower’s remedy for a lender violating the law by exercising dominion or control over rents payable to the borrower without first obtaining possession of the project?

How about conversion/civil theft? Let’s check-off the elements:

A proper complaint for conversion must allege the four elements of a cause of action for conversion:

(1) an unauthorized and wrongful assumption of control, dominion, or ownership by a lender over a borrower’s personalty (identifiable “rents” count); [ √ check]

(2) borrower’s right to the rents; [ √ check]

(3) borrower’s right to immediate possession of the rents; [ √ check]

(4) borrowers’ demand for possession of the rents. [easy to do: √ check]

“Punitive damages” are available where a defendant willfully or wantonly converts the property of another. Is there any legitimate doubt – especially in Illinois – especially since the court’s clear and unequivocal Comerica decision in 1996 – that a lender who unilaterally converts the rents of a borrower to its own use without taking lawful possession of the rental project does so “willfully or wantonly” in disregard of the project owners’ rights to those rents?

If a lender is intentionally violating the law as it relates to the security for its loan, particularly as it relates to an assignment of rents executed within or in conjunction with a mortgage debt, might the lender also be guilty of “unclean hands” relative to the mortgage security, with the result that a lender might be equitably barred from foreclosing its mortgage in a court of equity? Stay tuned…

The point is not that I wish to prevent a lender from enforcing its legal rights under its loan documents. The point is, a lender must enforce its legal rights within the bounds of the law, just like everyone else.

I didn’t make the rules, but I will enforce them. If a lender insists on violating the law vis-à-vis one of my borrower clients, it should expect to suffer the consequences.

This is not a threat – it is a promise.

Make sure you remove dirt particles. Also wipe away dirt and crusty mud on the wheels of the luggage.

3. For your leather luggage, try to get rid of the mud using a leather polisher. Apply leather polisher on a clean rag. Wipe it all over the bag.

4. Get a soft-bristled brush and use this to remove dirt particles in the zippers, wheels and the handles of the bag. You can try soaking the brush in the dish washing liquid solution first. This will loosen up the crusty mud or dirt.

5. Sprinkle baking soda on the interior and exterior of the luggage. Leave it on for an hour. Baking soda can effectively diffuse unwanted luggage odor. This will also help get rid of lingering stains and dirt.

6. After an hour, vacuum the travel bag again to get rid of the baking soda residues.

7. To deodorize the luggage bag once again, try spraying it with lemon juice solution. Just mix one cup of lemon juice with one cup of water. Place it in a spray bottle. Spray it all over the luggage. This should work in diffusing unwanted bag odor.

8. Let it dry completely. Place the bag in an area not directly exposed to the sun.

If you are traveling during rainy seasons, make sure you use a luggage cover for your bag. These can be purchased from travel bag stores. They can protect your bag from further damage.

Magazine production is a business that runs by the clock, and those who produce magazines live a work life that is totally based on a constant series of ever-evolving and constantly moving deadlines. But unlike newspapers that concentrate on the day-to-day news as it happens – and then move on to the next news cycle within a few hours – magazines take more time to produce, so their deadlines are also more elongated.

First of all, the editorial staff will come up with a yearly outline of issues, including the cover story topics, the columns and articles that will go inside each issue, and suggestions for art work, photos, and graphics. Then the advertising and market team will set about the business of drumming up ads. This can also mean that the topics covered have to be researched a year in advance, so that they are appropriate to a particular season of the year. But if they contain time-sensitive information, that might have to be inserted at the end, right before the article goes to print. For example, a food review of a restaurant opening next year might be written this year, but the phone number of the place won’t be known until next year, right before the magazine goes into production. So these kinds of challenges are all part of the strategy and planning that go into the production of the magazines that we see every day.

Havanese Training – What To Do If Your Dog Has Separation Anxiety

Separation anxiety is one of the more common problems that Havanese dog owners face.  After all your dog is extremely loyal and wants to go wherever the owner goes.  We would love to have our Havanese accompany us wherever we go but that is just not feasible especially when we have to go to work or to areas where dogs are not allowed.

Leaving them at home can cause anywhere from slight levels of anxiety to severe behavioral problems that result in barking and destruction of your things at home.  When you come home you may find that your dog has chewed through your favourite pair of shoes or has peed on the carpet because they were anxious when you were not around.  It is sometimes hard to imagine that your cute Havanese turns into a little monster at home, all because they get worried that you left them and won’t return.

The Sources of Dog Separation Anxiety

The main driving force behind the anxiety is their inherent nature of being pack animals and separating them from the pack causes them uncertainty and agitation.  They feel a sense of detachment when their master leaves and that gets them disturbed.  In fact, there are certain actions that the owner takes that builds on this anxiety and gets them even more agitated. 

For example, if you give them attention before you leave or right after you return and this is done on a consistent basis every day, the pattern you set gets engrained in their routine and their agitation builds day after day.

Reducing Dog Separation Anxiety

What you don’t realize is that you actually have more control on their agitation than you may think.  Certain changes in your actions could go a long way in reducing their agitation and thus curbing their anxiety.

Here are some simple ways you can reduce the anxiety:

Mix it up every day: If you have a set number of tasks you do each day before you leave, you may want to change it around a bit.  If you know that your Havanese dog starts to act up when you pick up the car keys, for instance, try using another approach to get your keys the next time.  Put your keys in your pocket well ahead of time before leaving.  Another common trigger is their morning walk just before being left.  If they know you leave them at home right after you walk them, try taking them for a walk well before you plan to leave.

Remain neutral: It is difficult not to give them affection just before you leave.  After all you will be miss them all day too.  However, doing this only escalates their anxiety when you leave them.  The same applies when you return home.  Try not to give them excessive attention before you leave or right after you return.  The most effective way to lower their anxiety is to disassociate your leaving and returning with the amount of attention they receive.  It is recommended that you pretend nothing has changed before you leave or when you return and you do that by ignoring your dog for 10 minutes before and after.  Don’t pet them or hug them during those moments even if they make sad noises or have a sad expression.  Remember, you are doing this only to help them reduce their anxiety when you are not at home. 

Start with shorter periods:  If you see your dog is getting anxious as soon as you leave, go out for a few minutes and then come back in.  That will change their expectation of how long you will be gone and when you return.  You can slowly increase the time you leave them so it would appear natural to them that you do come back even if you leave.

You Are Not Being Mean

You may think that some of these methods are cruel and it certainly feels that way when dealing with Havanese dogs who get extremely attached to their owner.  What you need to realize is that when you do this you reduce their anxiety which in turn allows them to be calmer and healthier in the long run.

If your dog’s anxiety problems carry on for a long time, you should do everything you can to reduce it early and not let it get worse.  The last thing you want to do is come home to find your Havanese dog has done something they shouldn’t have and you immediately respond by shouting at them (and that happens because you created that situation in the first place).
